Professional Licence vs Commercial Licence in Dubai: Which Do You Need?
The difference between a professional licence vs commercial licence in Dubai comes down to one question: do you sell your skills, or do you sell goods and commercial services? If you earn money from your expertise, such as consulting, design or training, you generally need a professional licence. If you buy and sell products, or run a business such as trading, logistics or construction, you generally need a commercial licence.
That sounds simple, but the choice has real consequences. The licence you pick sets the activities you can legally perform, the approvals you may need, how your company is structured and what you will pay each year. Applying under the wrong category can delay your application, force an amendment later, or leave you unable to invoice for work you are already doing.
This guide explains what each licence covers, how the two compare side by side, which businesses fit where, and the mistakes that most often trip up first-time founders. It focuses on mainland licences issued by Dubai’s Department of Economy and Tourism (DET).
Professional Licence vs Commercial Licence: The Short Answer
Dubai’s government business portal lists five mainland licence types: industrial, commercial, professional, e-trader and dual licence. Of these, professional and commercial are the two that most new founders choose between.
According to the official Dubai government guide to starting a business, a commercial licence covers the buying and selling of most goods and services, while a professional licence covers professional services based on intellectual or artistic ability.
A quick test:
- You sell expertise (advice, design, training, engineering, legal or accounting work): professional licence
- You sell products or run a commercial operation (trading, import/export, logistics, retail, construction, software products): commercial licence
- You make or assemble goods: industrial licence, which is a separate category from both
- You sell online from home: the e-trader licence may fit better than either
What Is a Professional Licence in Dubai?
A professional licence is issued to businesses and individuals who offer services drawing on a qualification, skill or creative ability. The value you provide is knowledge and expertise rather than physical goods.
Typical activities include:
- Management and business consultancy
- Engineering and architectural consultancy
- Graphic design, photography and creative services
- Training and coaching
- Legal, accounting and advisory services (subject to any regulator approvals)
- Marketing and public relations consultancy
Key points to know:
- Many professional activities are regulated, and some need a qualification certificate or an approval from a government body before DET will issue the licence
- Professional businesses often run lean, with small teams and modest premises
- Professional licences are commonly held by sole owners, which suits freelancers and independent consultants moving to a company structure
What Is a Commercial Licence in Dubai?
A commercial licence covers trading activities and a wide range of other commercial businesses. If your core business involves buying, selling, importing, exporting or distributing, this is the category you will almost certainly need.
Typical activities include:
- General trading and specific product trading (electronics, food, textiles, building materials)
- Import and export
- Logistics and freight services
- Retail and wholesale
- Construction-related commercial activities
- Real estate brokerage (subject to additional approvals)
Key points to know:
- Commercial activities are more numerous than professional ones, so activity selection matters
- Certain activities, such as food, health products or real estate, need approval from another authority before licensing
- Commercial businesses tend to need more space and, often, more staff, which affects visa numbers and costs

This table is a general guide. DET’s rules on activities, legal forms and approvals change, so always confirm the current position for your specific activity before you apply.
Which Licence Do You Need? Practical Examples
The easiest way to decide is to look at your invoices. What exactly will a customer be paying you for?
Scenario 1: A marketing consultant moving from freelancing to a company. She sells strategy and campaign advice. Her value is expertise, so a professional licence is the natural fit.
Scenario 2: A founder importing consumer electronics from Asia to sell to Dubai retailers. He buys and resells physical goods. This is a commercial licence, and he should check whether his specific product category needs an additional approval.
Scenario 3: An architect who also wants to sell building materials to clients. This one is trickier. Architectural design is a professional activity and material supply is a commercial one. Mixing categories on one licence is not always allowed, so he may need two licences or a different structure. This is exactly the sort of case worth checking with DET or an adviser before applying.
Scenario 4: A software company building a product it sells to businesses. Software is generally listed as a commercial activity, although custom IT consultancy can fall under professional services. The exact wording on the licence matters, so confirm the activity code.
Scenario 5: A home-based entrepreneur selling handmade goods on Instagram. Neither may be right. The e-trader licence was designed for this situation and is worth exploring first.
Requirements, Documents and Timeline
Requirements vary by activity, but most mainland applications follow the same path.
Typical steps:
- Choose your activity. Pick the exact activity description that matches your income source.
- Select your legal form. Options include a sole establishment, civil company or limited liability company, depending on the activity and number of owners.
- Reserve your trade name. It must follow UAE naming rules.
- Apply for initial approval. DET confirms the activity is permitted. Some activities also need approval from another authority.
- Secure premises. Mainland companies generally need a registered office with an Ejari tenancy contract.
- Draft and sign your company documents. For an LLC, this includes the Memorandum of Association.
- Pay fees and receive your licence. After this, you can apply for the establishment card and visas.
Documents usually requested:
- Passport copies and photographs of owners and managers
- Visa and Emirates ID copies for UAE residents
- Proof of qualifications for regulated professions
- Tenancy contract (Ejari)
- Approval letters from other authorities, where relevant
The UAE government’s mainland business guide outlines the general journey, and fees and timelines depend on your activity and approvals. A straightforward application with complete documents moves much faster than one that needs external approvals.
Costs to Plan For
Fees differ by activity, legal form, premises and approvals, so there is no single price for either licence. As a rule, expect your budget to include:
- The annual trade licence fee, which varies by activity
- Initial approval and name reservation fees
- Office rent and Ejari registration
- MOA drafting and notarisation if you form an LLC
- Establishment card and visa costs for each visa holder
- Any fees charged by an approving authority
Rather than comparing headline licence fees, ask for a written quotation that separates one-off setup costs from annual recurring costs. INFICO’s mainland company formation service can prepare a breakdown based on your exact activity.
Should You Consider a Free Zone Instead?
Both licences discussed here are mainland licences, which allow you to trade across Dubai and the wider UAE market and to work with government clients. If most of your customers are overseas, or you want a lower-cost entry with a flexi-desk, a free zone licence may be worth comparing. Free zones have their own licence categories, so the professional or commercial question comes up there too, but the rules, costs and market access differ.
EXPERT INSIGHTS
Common mistake 1: Choosing a licence by what sounds right, not what the invoices say. A “consultancy” that mostly resells equipment is a commercial business in practice. Match the licence to the real revenue source.
Common mistake 2: Skipping the approvals check. Some activities cannot be licensed until another authority approves them. Finding that out after you have signed a lease is expensive.
Common mistake 3: Selecting too many activities. Extra activities can increase fees and trigger additional approvals. Start with the activities you will actually perform.
Common mistake 4: Assuming you can mix any activities. Combining professional and commercial activities on one licence is not always possible. Confirm what the combination rules allow for your case.
Common mistake 5: Forgetting that the licence wording matters. A bank, a client or a visa officer reads the activity on your licence. If it does not describe what you do, you may hit friction later.
Best practice: Write down your three main revenue sources, then check each one against the activity list before you choose a licence. If they fall into different categories, ask about structuring options early.
Expert tip: Plan your visa needs at the same time as your licence. The premises you lease usually limit how many visas you can sponsor, so choosing the cheapest office can restrict your hiring later.
UAE TAX AND COMPLIANCE CONSIDERATIONS
The licence category does not decide your tax position, but both licence holders face the same federal obligations.
Corporate tax. UAE corporate tax applies under Federal Decree-Law No. 47 of 2022, and the Ministry of Finance’s corporate tax overview explains who is taxable and how. Mainland businesses should check registration deadlines and filing duties with the Federal Tax Authority.
VAT. VAT is charged at 5% on most goods and services. Businesses must register once taxable supplies pass the mandatory threshold, and the Federal Tax Authority’s tax guidance sets out the current rules. Commercial businesses that import and trade goods often deal with VAT on stock and customs, while professional firms mostly deal with VAT on service invoices.
AML and registration duties. Some professional and commercial activities fall under anti-money-laundering rules, including registration on the goAML platform. This is most relevant for activities such as real estate, precious metals and some advisory services. INFICO’s compliance and regulatory services cover these obligations, and the accounting and financial services team handles bookkeeping, VAT and corporate tax filings.
Visas and documentation. Whichever licence you hold, you will need an establishment card before sponsoring visas. INFICO’s visa and licensing support and PRO services can handle the paperwork so you are not stuck in queues.
Rules, thresholds and deadlines change, so verify current requirements with the relevant UAE authority or a licensed adviser before you act. Nothing in this guide is legal or tax advice for your specific situation.

FREQUENTLY ASKED QUESTIONS
1. What is the main difference between a professional and a commercial licence in Dubai?
A professional licence covers services based on intellectual or artistic skill, such as consulting and design. A commercial licence covers trading in goods and most other commercial services.
2. Which licence do I need to start a consultancy in Dubai?
A consultancy usually falls under a professional licence. Check the exact activity description, because regulated consultancies may need an approval or qualification certificate.
3. Can I trade goods with a professional licence?
Generally no. Trading goods is a commercial activity. If you want to offer both services and products, ask DET or an adviser whether you need separate licences or a different structure.
4. Which licence is cheaper?
There is no fixed answer. Fees depend on the activity, legal form, premises and approvals, so request a written quotation for your own activity rather than comparing published averages.
5. Can foreigners own 100% of a business under either licence?
The official Dubai government guide states that most business activities allow 100% foreign ownership, with some strategic sectors restricted. Confirm the current position for your activity before applying.
6. Do I need an office for a professional or commercial licence?
Mainland companies generally need a registered office with an Ejari tenancy contract. Requirements can vary by activity, so confirm before you sign a lease.
7. Can I change my licence type later? Activities can usually be added, removed or amended through DET, but changing between categories can involve new approvals and fees. It is easier to choose correctly at the start.
8. How long does it take to get a Dubai professional or commercial licence?
Timelines depend on how complete your documents are and whether your activity needs external approvals. Straightforward applications move faster than those needing another authority’s sign-off.
9. What if my business does not fit either licence?
Look at the other categories. Manufacturing needs an industrial licence, home-based online sellers may qualify for an e-trader licence, and a free zone dual licence may suit free zone companies wanting mainland access.
Choosing between a professional licence vs commercial licence is less about business size and more about what you actually sell. Expertise points to a professional licence. Goods and commercial operations point to a commercial one. The edge cases, such as mixed activities, regulated professions and product categories that need approvals, are where applications stall.
Because DET rules, fees and approval requirements change, treat this guide as a starting point and confirm the current position with the authority or a licensed adviser before you commit to a lease or pay any fees. A little planning at this stage can save you an amendment, a delay or a second licence later.
If you are unsure which category fits your business, INFICO’s advisers can review your activities, check the approvals involved and prepare a quotation for your specific setup.
